Banca Transilvania informs investors that, pursuant to the Resolution of the Board of Directors of Banca Transilvania adopted on 13 November 2017, the following were approved:

1. Share buyback of BT shares (TLV), in accordance with the law and within the limits of the EGMS resolution dated 26 April 2017, namely the purchase of up to 15,000,000 shares (out of the total 25,000,000 shares approved for buyback by the EGMS) with a nominal value of RON 1 per share, at a minimum price equal to the market price on the BVB at the time of purchase and a maximum price of RON 3.5, in line with the daily trading prices on the BVB applicable during the buyback period.

2. The volume of shares the company may purchase will be determined in accordance with Article 3 of Delegated Regulation (EU) 2016/1052.

3. Taking into account points 1 and 2 (regarding the number of shares subject to the buyback and the price level and daily tradable volume), the buyback will run from 14 November 2017 to 31 December 2017.
