Banca Transilvania’s shareholders approved the merger of BT with OTP Bank Romania at the Extraordinary General Meeting held today.

The integration of OTP Bank Romania into Banca Transilvania began in August 2024 and will be completed on February 28, 2025, when the two banks merge.

• Banca Transilvania and OTP Bank Romania will continue to operate independently until the merger and will ensure a smooth transition for OTP Bank Romania’s clients.
• February 28, 2025 is when OTP Bank Romania’s clients become BT clients; it is also the last day they can use OTP Bank Romania’s products and services.

I would like to thank the shareholders for this vote of confidence in the plan to merge Banca Transilvania with OTP Bank Romania. This is BT’s fastest integration—just seven months. The period so far has unfolded according to our ambitious plan thanks to the collaboration of 750 people from the two banks’ teams, who have devoted over 150,000 hours to the projects involved. I am confident the integration will go well through to the end, alongside BT’s organic growth.

Banca Transilvania acquired OTP Bank Romania and the other Romanian subsidiaries of OTP Group this year, for EUR 347.5 million. The first merger took place in early December 2024, between BT Leasing and OTP Leasing.
