Banca Transilvania makes a new acquisition in the Republic of Moldova


Banca Transilvania
intends to acquire 100% of the share capital of Microinvest, a company specializing in financing microenterprises and the leader in the Republic of Moldova’s non‑bank financial sector.

Over time, Microinvest has built a solid market position and established itself as a strong brand. The company has over 25,000 clients, nearly 200 employees, 13 branches, and has so far extended more than 30,000 loans. Another strength of Microinvest is its professional management team, with experience and expertise in banking and microfinance.

 

“The step we are taking with this new acquisition shows BT’s commitment to support as many entrepreneurs as possible by developing the microfinance business of the Banca Transilvania Financial Group. It is an opportunity we want to leverage for the benefit of customers who are just starting out. We will do this by combining the business model we have in Romania at BT Mic, with Microinvest’s, and by increasing synergies with other companies of the Banca Transilvania Financial Group in the Republic of Moldova — BT Leasing and Victoriabank,” says Ömer Tetik, Chief Executive Officer, Banca Transilvania.

 

BT is currently seeking approval for the acquisition from the supervisory authorities in Romania and other relevant authorities.

 

In evaluating and preparing this transaction, Banca Transilvania worked with law firms and legal advisers in Romania and the Republic of Moldova, with the core project team comprising Filip & Company and Vernon | David and Associates. KPMG and EY were also partners on the project.

 

Active in the Republic of Moldova since 2008, initially through BT Leasing Moldova and since 2018 through Victoriabank, the Banca Transilvania Financial Group supports entrepreneurs and contributes to strengthening the region’s economy.

  • BT Leasing Moldova is the leading leasing company in the Republic of Moldova by the value of fixed‑asset lease financing provided. It has over 3,000 clients, 60% of whom are companies. SMEs account for 90% of the businesses financed. BT Leasing MD offers a full range of leasing financing products and services for the acquisition of vehicles, equipment, machinery and real estate for individuals and companies in the Republic of Moldova.

 

  • Victoriabank is the third‑largest bank in the Republic of Moldova. It has almost 270,000 active clients, over 10,000 of whom are companies, as well as 100 branches and 1,100 employees. It is the first commercial banking institution established in Moldova, in 1989. Banca Transilvania has been a shareholder in Victoriabank since 2018 and, together with the European Bank for Reconstruction and Development, forms a strategic partnership to support the economy of the Republic of Moldova.
