Banca Transilvania to pay additional dividends and launch new bond issues

Banca Transilvania will pay additional dividends of RON 700 million to shareholders, sourced from retained earnings accumulated in prior years. At the same time, the bank will launch   bond issues of up to EUR 2 billion to support future growth plans.

These initiatives, proposed by the Board of Directors, were approved by shareholders at the General Meeting of Shareholders, held on October 28, 2025.

This year, the bank has already allocated RON 1.59 billion to dividends from 2024 profit, representing 45% of it.

We are committed to rewarding the trust of our shareholders and investors, in light of the bank’s solid financial results and its ability to generate long-term value. We are also pleased to provide liquidity and support to our shareholders during a challenging period. As for the new bond issues, we see them as a very good option to diversify our capital base on cost-efficient terms, while also strengthening BT’s presence as an issuer on international capital markets.

Additional dividends

  • The distribution entails a gross dividend of RON 0.6420 per share. (Late edit: November 26, 2025, 16:25 - full gross dividend value: 0.6420341921 RON per share)
  • The yield is approximately 2.3%, based on the current TLV share price.
  • The dividend payment date is December 11, 2025, for shareholders of record on November 25, 2025.

New bond issues 

  • The corporate bond issues will take place over a period of up to 5 years, will amount to up to EUR 2 billion (or the equivalent in another currency) and will be denominated in RON, EUR or another currency.
  • BT proposed that shareholders approve bond issues on a flexible basis, via one or more separate issuances, under a new bond programme, or by appropriately increasing the maximum amount authorised under the EUR 1.5 billion EMTN programme established in 2023.
  • The bank will take market conditions and practices into account when setting the interest rate, coupon frequency, instrument type or any other structuring features of the issues.
  • BT Capital Partners, the brokerage company of the Banca Transilvania Group, will be one of the intermediaries for each bond offering.

In the first six months of the year, the Banca Transilvania Group reported net profit of RON 1.97 billion, of which RON 1.78 billion was generated by Banca Transilvania. BT will announce its financial results for the first nine months of 2025 on November 10.
