3. Will shareholders receive cash dividends in 2017?

Yes. In your position as BT shareholder, you will receive cash dividend this year. Dividends are a portion of Banca Transilvania’s profit, distributed to its shareholders. Moreover, it is the most straightforward way to take advantage of the bank’s profitability, in your position as investor or shareholder.

The Ordinary General Meeting of Shareholders decided to grant a gross dividend in amount of RON 0.0600650382 per share to each individual shareholder recorded in the Shareholders' Register as at August 4, 2017 (the registration date).The payment date is August 10, 2017.

4. Will shareholders receive free shares in 2017?

Yes. In your position as BT shareholder, you will receive free shares this year.

The Extraordinary General Meeting of Shareholders decided to increase the bank’s share capital by RON 695,388,129 through the issuance of 695,388,129 new shares at a par value of RON 1/share, which areto be granted tothe shareholders recorded in the Shareholders' Register held by the Central Depository SA as at the registration date established by the GMS.

Each individual shareholder recorded in the Shareholders' Register as at August 4, 2017 will receivefor each 100 owned shares, a round number of free shares calculated based on the algorithm 100x (695,388,129/3,646,047,792RON).In accordance with the legal requirements governing the capital market, if the application of the mentioned algorithm for the calculation of free shares results in fractions of financial instruments, the effective number of free shares to be received will be rounded to the lower value.

The payment date is August 7, 2017.

6. What does registration date mean?

The registration date is the date established by the General Meeting of Shareholders,ensuring the identification by the bank (as a listed entity) of the shareholders which are entitled to receive dividends or other rights and are subject to the GMS decisions.

As decided by the GMS of April 2017,the registration date for the cash dividend and for the free shares granted as a result of BT’s share capital increase is August 4, 2017.

7. What does ex-date mean?

Ex-date is the date preceding the registration date, with settlement on the previous working day, and starting from which the financial instruments subject to the decisions of the statutory bodies are traded without the rights deriving from the respective decisions.

As decided by the GMS of April 2017, the ex-date for the cash dividend and for the free shares granted as a result of BT’s share capital increase is August 3, 2017.

8. What does payment date mean?

The payment date is the day when the distribution of income (cash or securities)related to the securities held is certain.

In accordance with the GMS decision of April 2017, the payment date for the cash dividend is August 10, 2017, whereasthe payment date for the free shares granted as a result of BT’s share capital increase is August 7, 2017.
