Banca Transilvania: significant growth in operating activity 

and contribution to strengthening the banking system in Romania and the Republic of Moldova


*Banca Transilvania’s activity in the first quarter of 2025 and in 2024 includes a few specific items (one-offs), notably the merger of Banca Transilvania with OTP Bank România (March 2025), which affects the 2025 figures and reduces the relevance of a comparison with 2024.

Banca Transilvania started the year with good results, with growth in operating activity and transactions, as well as a strong pace of new client acquisition. 

The bank’s operations recorded significant growth: +16% in the number of transactions by retail and corporate clients compared with the first quarter of 2024.

At the same time, the bank added approximately 130,000 new clients in the first three months of the year, of which 119,000 are individuals and around 12,000 are companies, excluding clients transferred from OTP Bank România. BT reached almost 4.8 million active clients as at March 31, 2025.

The bank’s gross loans outstanding increased by RON 12.7 billion, +14.7% versus December 2024, driven by the integration of the OTP Bank România portfolio and higher lending volumes. Customer deposits rose to RON 160.1 billion, +6.2% versus December 2024. Retail deposits amount to RON 104.3 billion, and corporate deposits are RON 55.9 billion.

The first quarter also saw BT Group complete two bank integrations, in Romania and the Republic of Moldova, through the merger of Banca Transilvania and OTP Bank, and of Victoriabank and BCR Chișinău. These acquisitions and integrations impacted BT Group’s assets, which reached RON 206.8 billion. The bank’s assets are +6.7% compared with the end of last year, at RON 196.7 billion.

Consolidated net profit reached RON 877 million. Subsidiaries and equity investments contributed RON 120.8 million to BT Group profitability in the first quarter of 2025. Of the Group’s profit, the bank accounts for 86%, namely RON 756 million. The bank’s profit includes only one month of revenues (March 2025) from the OTP Bank România portfolio (amounting to RON 65 million). Accordingly, Banca Transilvania’s profit does not include RON 138 million of revenues recorded by OTP Bank România in January and February 2025.

BT continues to accelerate operating activity and sustain the pace of new client acquisition, further strengthening our market position. Beyond the gains already achieved from the OTP Bank România transaction, the merger brings meaningful synergies and opportunities for the future, even if in the short term it affected the quarterly result — both because it includes only one month of revenues and due to integration expenses. In addition, the strong pace at which we are attracting new clients will feed into revenues in the coming quarters. Following the first-quarter trend, we are highly confident that the bank and BT Group will deliver the budget committed to shareholders.

On the other hand, we are watching the macroeconomic picture closely; we look forward to the resolution of political uncertainties and to the implementation of structural reforms that will help the country sustain its growth and reach its potential. Romania has a much more developed economy than in years past, which gives us confidence we will navigate this period of turbulence well.

45% of 2024 gross profit allocated as dividends to shareholders

At the end of March 2025, Banca Transilvania had 79% Romanian shareholding, over 67,000 direct shareholders and more than 8 million indirect shareholders, given that pension funds hold approximately 28% of the bank’s shares. At the April 2025 General Meeting of Shareholders, shareholders approved the BT Board of Directors’ proposal to distribute 2024 profit via a gross dividend of RON 1.73 per share, as well as to increase share capital by RON 1.7 billion through the issuance of 173 million shares. BT will pay shareholders RON 1.6 billion in dividends, implying an approximate yield of 6%.


Other financial details:

  • The cost-to-income ratio reached 47.42%, calculated including the annualized impact of contributions to the Bank Deposit Guarantee Fund and the Resolution Fund.

  • The gross loans-to-deposits ratio is 61.7%, +4.6 pp (percentage points) versus December 31, 2024.

  • The bank’s net interest income was up 15.9% versus the first quarter of 2024.

  • Driven by BT’s higher activity, net fee and commission income is +9.7% versus end-March 2024.

  • The non-performing loan ratio is 2.52% as at March 31, 2025.

  • The capital adequacy ratio as at March 31, 2025 is 19.76% on a standalone basis.

Performance of the main business lines

  • Banca Transilvania reached 7.4 million cards in its portfolio, and the number of card purchases is +19% versus the same period last year. BT Group launched three cards in the first part of the year: BT Visa Platinum Debit for Premium Banking clients, BT Visa UNTOLD in physical format, and Cardul Direct Dedeman for BT Direct clients.

  • Nearly 5,400 people bought a home in the first three months of the year with financing from BT. The amount granted was approximately RON 1.6 billion, and the mortgage/real estate loan book at BT Group level is RON 24.5 billion, +1.9% versus March 31, 2024, representing 24% of the loan portfolio.

  • BT reached 150,000 Premium Banking clients and nearly 6,000 Private Banking clients. At the end of the first quarter, Private Banking client assets under the bank’s management exceeded EUR 3 billion, +12% versus December 31, 2024. Almost half of these assets belong to Private Banking clients in Bucharest.

  • On a standalone basis, the loan book to legal entities reached approximately RON 58.6 billion, +12% versus the end of 2024 (including OTP Bank România figures).

  • RON 7.4 billion was the value of loans approved in the first quarter for corporate clients, +9% versus the same period a year earlier.

BT solutions for Romanians everywhere

10% of the people who became bank clients in January–March 2025 via BT Pay live or study in other countries, the largest numbers being in the United Kingdom, the Republic of Moldova, Italy, Germany and Spain. In March 2025 the bank also launched the BT Pay Italia app to support financial connections within families and to contribute to the financial inclusion of Romanians, wherever they live.
