BT signs agreement for its first synthetic securitisation transaction
  • The synthetic securitization amounts to 2 billion lei (approximately EUR 400 million). With support from the EIB, the EIF reduces Banca Transilvania’s credit risk through this transaction and enables the bank to redeploy the capital allocated to the securitized portfolio.
  • The transaction also includes a commitment by Banca Transilvania to extend RON 2.64 billion in new financing to SMEs for sustainable projects.
  • The securitization further underscores its role as a tool that facilitates the reallocation of capital to new investments, thereby supporting job creation and a just transition to climate neutrality.


The European Investment Bank Group (the EIB Group), comprising the European Investment Bank (EIB) and the European Investment Fund (EIF), is strengthening its long-term cooperation with Banca Transilvania (BT) through the approval of a synthetic securitization and new lending commitments.

This is BT’s first securitization transaction and the first capital relief (capital relief) deal between BT and the EIB Group. The agreement aims to free up capital allocated to a portfolio of assets subject to the standardized approach, thereby creating lending capacity to support SMEs and mid-caps in Romania. The EIF is providing protection for a tranche of over 324 million lei, which is in turn counter-guaranteed by the EIB. The EIF is also providing protection for a tranche of over 1.67 billion lei, 50% of which is counter-guaranteed by the EIB. The structure is based on a portfolio of micro, SME and corporate loans with a total outstanding balance of over 2 billion lei.

Under this agreement, BT commits to extend more than 2.64 billion lei in new loans to SMEs and mid-caps over three years. At least 20% of this financing will be allocated to projects aligned with climate action and environmental sustainability, underscoring the commitment of BT and the EIB Group to support the transition to a low‑carbon economy.
