Zebrapay S.A., the company operating the SelfPay Payment Station network, has successfully completed a private bond placement, raising EUR 3 million, maturing in 2026, at a 5.5% coupon. SelfPay is the first fintech business to list bonds on the BVB’s AeRO market.

BT Capital Partners (BTCP), the investment banking and capital markets arm of the Banca Transilvania Financial Group, acted as Intermediary and Authorized Advisor. The BTCP project team comprised Daniela Secara (Chief Executive Officer), Nina Pirvu (Managing Director, Investment Banking & Capital Markets), Bogdan Baldovin (Associate) and Serban Dumitrescu (Associate).

The bonds will be listed on the Bucharest Stock Exchange’s Multilateral Trading System (SMT). The next step is to prepare the documentation required for the admission of the bonds to trading on the Bucharest Stock Exchange’s Multilateral Trading System. SelfPay targets a first trading day in about a month, under the ticker PAY26E. The proceeds from the bond listing will be used primarily to develop the Payment Station network nationally and internationally, starting in Italy, Spain, France and Ireland.

Placement details:

• In the private placement, the company offered 20,000 unsecured, non-convertible bonds with a nominal value of EUR 100 each; the offering was addressed to up to 150 investors and to qualified investors.
• The placement was oversubscribed and the offer was increased, raising a total of EUR 3 million at a 5.5% coupon, one of the lowest funding costs achieved for similar bond offerings.
• A total of 99 investors subscribed to the placement, both individuals and qualified investors.
