Vivre Deco Raises EUR 3.5 Million through a Private Placement of Bonds Arranged by BT Capital Partners

Vivre Deco, one of the largest online furniture and home décor retailers in Central and Eastern Europe, has successfully closed a private placement of bonds, raising EUR 3.5 million, maturing in 2025 and bearing a 5.25% coupon. The bonds will be listed on the Bucharest Stock Exchange’s alternative trading system.

 

The transaction was arranged by BT Capital Partners, the investment banking arm of the Banca Transilvania Financial Group, acting as Intermediary and Authorized Adviser.

 

In the private placement, the company offered 30,000 bonds with a nominal value of EUR 100, with a coupon in the 4.5%–5.5% range. The placement was oversubscribed, and the issuer decided to upsize the offer, raising a total of EUR 3.5 million at a 5.25% coupon. A total of 66 investors took part, both individual and institutional.

 

The proceeds will finance the company’s accelerated growth strategy by capturing market share, particularly through investments in marketing tools to expand the customer base and build brand awareness, as well as in technology and automation.

The next step is to prepare the documents required for admission to trading on the Bucharest Stock Exchange’s AeRO market. Vivre Deco aims for the first trading day to take place within three weeks, under the ticker VIV25E. The company will be the first e-commerce business to list euro-denominated bonds on the Bucharest Stock Exchange.

 

In 2019, Vivre Deco reported revenues of around RON 200 million, EBITDA of RON 7.1 million and a net profit of RON 3.4 million. The company is present in nine countries in Central and Eastern Europe and has grown steadily over the past 5 years, with revenues increasing by an average of 28% per year.

 

Over the past 12 months, BT Capital Partners has arranged five corporate bond issues and three M&A transactions, with an aggregate value of around EUR 250 million, making it one of the most active investment banking advisers in the local market.
